The Closing Atelier™ Terms of Service
DRAFT – pending review by counsel. Not yet in effect. Placeholders must be completed and every section approved by counsel before launch.
Last updated: October 8, 2026 · Provider: The Closing Atelier, LLC, an Illinois limited liability company ("we", "us"), operating The Closing Atelier (the "Service"). Contact: theclosingatelier@gmail.com · 10715 S. Roberts Rd., Palos Hills, IL 60465.
Service area: the Service is currently offered only to real estate licensees licensed in Illinois for transactions involving Illinois property. Its templates and reminders follow common Illinois practice and must be checked against each signed contract.
1. Who these terms cover
- Subscribers ("Agents") are Illinois real estate licensees (or people working under one) who create an account, open their free first client file or buy a subscription to manage transaction files.
- Clients are buyers or sellers an Agent invites to view the status of their own file. Clients do not pay and do not need a subscription.
- Visitors are people who view an Agent's public contact page or send an inquiry.
By creating an account, signing in with an access code, or submitting a form you agree to these terms. If you use the Service for a brokerage or company, you confirm you may bind it.
Age (18+). The Closing Atelier is meant for adults. Agents must be at least 18. Clients must be at least 18 or be invited by their agent together with a parent or guardian. The service is not directed to children under 13, and we do not knowingly collect their information; if we learn we have, we delete it.
2. What the Service is (and is not)
The Service is a communication and status-tracking tool. It lets an Agent post milestones, dates, checklists, documents and messages, and lets that Agent's clients see them.
- No legal, tax, lending or financial advice. Nothing in the Service is legal advice or replaces your attorney, lender, inspector or other professionals. Status shown is entered by the Agent and may be incomplete or late; the contract and your professionals control.
- Not a brokerage, escrow or payment service. We do not hold funds or act as a party to any transaction. The Service never collects, stores, displays, uploads or transmits wire instructions or bank, account or routing details, and offers no "verified wire instructions" feature or partner integration. You agree not to enter or upload them; the Service may block or delete content that appears to contain them.
- WIRE FRAUD WARNING: The Closing Atelier will never send, request, or change wire instructions. Before sending any money, call your attorney or title company directly at a phone number you have independently verified (not one from an email or text). Never act on emailed or texted wire instructions or changes.
- The Agent is responsible for their content and for complying with real estate license law, brokerage policies, fair housing law, advertising rules and record-keeping requirements. Agents must display their sponsoring brokerage as required by law.
- Not a law firm. The Closing Atelier is not a law firm and does not provide legal services. Using the website or app, or contacting us, does not create an attorney-client relationship with us or with anyone else. Illinois purchase contracts often include an attorney review period; please rely on your own attorney for legal questions.
- Not a real estate brokerage. The Closing Atelier is not a real estate brokerage and does not perform any activity that requires a real estate license. We do not list, show, market or negotiate property, give opinions of value, or receive any fee tied to a transaction or referral. Each agent who uses the app, and that agent’s sponsoring brokerage, remains fully responsible for their services, advice, advertising, records and compliance with the Illinois Real Estate License Act and brokerage policies.
- No notary services. The Closing Atelier does not provide notary, remote online notarization or electronic notarization services, and it does not provide electronic signatures. Agents send documents for signature through their own e-signature provider. Your attorney or title company will arrange any notarization.
- Dates are estimates. Dates, deadlines and countdowns shown in the app are estimates calculated from information your agent entered. They may change, may not reflect every term or amendment of your contract, and may not account for every holiday or local practice. Your signed contract, its amendments and your attorney control every deadline. Please confirm important dates with your attorney.
- Information accuracy. Status updates, documents and details in the app are provided by your agent and, in some cases, by other parties or services we do not control. We work hard to keep the app reliable, but we cannot guarantee that every entry is complete, current or error-free. If something looks wrong, please contact your agent.
- Artificial intelligence. Some content in The Closing Atelier, such as virtually staged images, summaries or suggested wording, is created with artificial intelligence. AI can make mistakes. AI content is clearly labeled, is reviewed by the agent before clients see it, and is never legal advice or a statement about a property’s condition or value.
Fair housing. The Closing Atelier supports the Fair Housing Act and the Illinois Human Rights Act. Our software is built to help agents serve every client equally. We do not allow our tools to be used to discriminate on the basis of race, color, religion, sex (including sexual orientation and gender identity), disability, familial status, national origin or any other characteristic protected by federal, state or local law. Agents remain responsible for their own fair housing compliance.
3. Accounts and security
You must give accurate information, keep your password and two-factor device secure, and tell us promptly at theclosingatelier@gmail.com if you suspect unauthorized access. Agents may only invite clients they actually represent and may only upload information they are allowed to share. Do not upload Social Security numbers, full bank or card numbers, or wire instructions.
4. Acceptable use
You will not: break the law; harass anyone; discriminate or publish content that indicates a preference, limitation or discrimination based on a protected class under federal, state or local fair housing law; send marketing texts or emails without the consent the law requires; upload malware; probe, scan or test the Service's security without our written permission; access another person's data; scrape the Service; or resell it without our consent.
5. Subscription, free first client file, automatic renewal and cancellation
Automatic renewal offer terms (shown again next to the purchase button):
- Your subscription continues until you cancel. Plans renew every month.
- Price changes and price lock: Prices may change. We will email you at least 30 days before a new price applies to your next renewal [notice period to be confirmed], and you may cancel before then. Everyone pays the same price. If we raise prices, current subscribers keep the price they signed up at for as long as their subscription stays active on the same plan [price lock for all subscribers: owner and counsel to confirm]. The lock ends if the subscription is cancelled or lapses, or if you change plans. Taxes and optional add-ons are not part of the lock.
- Price: the price shown at checkout (currently $29.99 per month for Agent (up to 50 client files per subscription year), $39.99 per month for Agent Plus (up to 100), $29.99 per month for Investor (up to 30), and $9.99 per file for By Owner sellers, a one-time, non-recurring charge for each file that is not a subscription and does not renew. The complimentary client file applies only to the Agent plan; By Owner files are always paid at $9.99 per file; Pro Directory listings $19.99 per month; all plus applicable tax). If we change the price we will tell you by email at least 30 days before the change applies to your next term, and you may cancel before then.
- When to cancel: cancel any time before your next renewal date to avoid being charged for the next term. There is no minimum purchase obligation.
- How to cancel: sign in, open Billing and choose Cancel subscription — cancellation is fully online. You can also email theclosingatelier@gmail.com from your account email. Billing stops at the end of the current paid period, but your clients' access becomes read-only when you cancel and your files are deleted ninety (90) days later (see "When a subscription ends" below).
- Free first client file (real estate agent accounts only; there is no time-limited trial): new Agents can open one (1) client file completely free for that file's whole life, from intake through closing and after-closing (one free file per Illinois real estate license). Pro accounts (including loan officers and other professionals and contractors) and By Owner sellers do not get a free client file or any free period. No card is collected, nothing is charged for that file, and the free file never converts into a paid subscription automatically and does not expire on a date. Every client file you ever create counts toward the one free file, including files you later archive or delete. To open a second client file you need a paid Agent plan ($29.99 per month for up to 50 client files per subscription year, or $39.99 per month for Agent Plus up to 100, plus applicable tax), which starts only if you choose it and check the consent box at checkout. It then renews automatically every month until you cancel, and you can cancel online at any time under Billing.
- Acknowledgment: after purchase we email you a receipt that repeats these terms and how to cancel.
Refunds: Paid billing is not turned on. No card is collected for the one free client file, and it never charges anyone. Before any card is charged, this paragraph will state whether monthly fees are refundable. If a billing error is ours, we will refund the affected amount.
Failed payments: if a payment fails we will email you. After a 7-day grace period, Agent tools become read-only until payment is fixed.
When a subscription ends (cancellation, lapse or account closure) (pending counsel review): client access depends on the Agent's subscription; there is no separate client-owned account. When an Agent cancels, the subscription lapses (payment grace period over, or subscription deleted), or the Agent closes the account, a ninety (90) day hold begins. During the hold (a) every client keeps read-only access to that Agent's shared files (they can view their file and documents, but cannot send messages, upload, sign or change anything), (b) the Agent can still sign in to export everything (a full account export, or each file's ZIP), and (c) each client receives an email with a one-time link to download the documents that client uploaded. Before the data is deleted, we email the Agent and the clients 7 days before deletion so they can export it. At the end of the ninety (90) days, every file of that Agent (and, for a closed account, the account), including documents, messages and client invitations, is permanently deleted (stored documents are overwritten and removed; we keep only a log entry recording that a deletion happened, with no file contents or personal details). The Agent may choose to delete everything sooner. If the Agent resubscribes before deletion, the files and full client access are restored. Record retention is the Agent's and the sponsoring broker's responsibility, not ours: you must keep your own transaction records for 5 years (68 Ill. Adm. Code 1450.755); The Closing Atelier does not retain records on your behalf, so export your records before the hold ends. A former client may be invited to a new file by any agent; we do not refer clients to agents.
Retention schedule. Retention: we keep client file data while the Agent’s account is active. After the subscription is canceled or lapses, or the Agent closes the account, there is a 90-day hold: clients have read-only access, the Agent can still sign in to export everything, and we email the Agent export reminders. After 90 days the data is permanently deleted (the Agent can choose to delete it sooner). Backups are deleted after 30 days. Email and text-message send logs are kept 30 days or less. The security audit log is kept 1 year, after which names, IP addresses and details are removed. AI intake data is kept 30 days. Billing records are kept 7 years and contain no client data. We do not keep records on the Agent’s behalf: Illinois sponsoring brokers must keep their own transaction records for 5 years (68 Ill. Adm. Code 1450.755). The periods above are pending counsel review, except the 7-year billing-record period, which is final.
Dane wprowadzane do funkcji AI przechowujemy 30 dni.
Draft for counsel review (Oct 28, 2026 — file caps and Agent Plus / Investor). Not yet in effect.
Agent plans (auto-renew, billed monthly): Agent at $29.99/month includes up to 50 client files per subscription year. Agent Plus at $39.99/month includes up to 100 client files per subscription year. A subscription year is the rolling 12 months that starts on the agent's paid subscription start date. Files created in that window count; when the year turns over, the count resets. Buyers and sellers who come through the agent's invite or link never sign up or pay.
Investor plan (auto-renew, billed monthly): $29.99/month for up to 30 client files per subscription year, for people who buy or sell without an agent. No real estate license is required. Investor accounts are not platform-admin "Owner" accounts.
At the cap: creating a new client file is blocked with a message that includes contact email theclosingatelier@gmail.com and phone (708) 576-1672. Existing files stay fully usable.
Mid-cycle upgrade (Agent → Agent Plus): the file cap rises immediately to 100 for the same subscription year; year start does not reset. Proration and how the first Agent Plus charge is calculated: pending counsel wording.
Downgrade (Agent Plus → Agent, or any lower cap): existing files stay readable and usable; only creating new files is blocked if the account is already over the new cap.
Pros $19.99/month and By Owner $9.99 per file (one-time) are unchanged. Auto-renew disclosures must list $29.99 (Agent), $39.99 (Agent Plus), $19.99 (Pros), and $9.99 (By Owner) where prices are recited.
Complimentary file and license record. Your first client file is on us. One complimentary file per Illinois real estate license. An active IDFPR license number is required to verify eligibility. After your complimentary file, additional client files require Agent ($29.99/month, up to 50 client files per subscription year) or Agent Plus ($39.99/month, up to 100). We verify your license with the Illinois Department of Financial and Professional Regulation and use it to apply your one complimentary file. Your license number is never displayed publicly or shared. The license number is checked against the Illinois Department of Financial and Professional Regulation register; if the automated check is unavailable, a person reviews it before the complimentary file is applied, and you can ask for a review if your number was entered by mistake or used by someone else. We store only a protected (keyed hash) form of the number, never the number itself, and use it for nothing else. The complimentary file is not tied to referrals or to any payment from a lender, title company or other settlement provider. If you delete your account, we keep only a protected record of your license number and the date your complimentary file was used. We do this solely to apply the one-per-license limit, and we delete it after 5 years. All other account data follows our 90-day deletion schedule.
When paid plans are turned on, card payments will be processed by Stripe. We do not store full card numbers. No cards are charged while billing is in test mode.
5A. Virtual Staging add-on (optional)
What it is. An optional, separately billed add-on that lets an Agent upload interior or exterior photos to a transaction file and create computer-generated ("AI") versions showing furniture, décor or landscaping in a chosen style ("Staged Images"). Staged Images are illustrations. They are not photographs of the property as it is, and they are never a statement about the property's condition, size, features or value.
Automatic renewal offer terms for the add-on (also shown next to the subscribe button):
- The add-on continues until you cancel. It is a separate subscription in addition to your plan, billed monthly only. It renews automatically every month at $10.00 (plus applicable tax) until you cancel. Billing for the add-on starts on the day you add it, even if you are still using your free first client file.
- Included use: up to 40 staging generations per calendar month (Central Time). Unused generations do not carry over. A generation counts when a Staged Image is successfully created, even if you delete it later; failed attempts do not count.
- How to cancel: sign in, open Billing and choose Cancel Virtual Staging. Cancellation is fully online, and you can also email theclosingatelier@gmail.com. It takes effect at the end of the period you already paid for. Canceling or ending your plan also cancels the add-on, and the add-on works only while your plan is active.
- Confirmation: after you subscribe or cancel we email a confirmation that repeats these terms.
- Refunds: Virtual Staging is not being charged yet. Before any charge, this paragraph will state whether a partial period is refundable. Until then, nothing is owed because no fee is collected, except where the law requires a refund or the billing error is ours.
Your responsibilities for uploaded photos (upload content rules). Each time you upload a photo you confirm, and you agree, that:
1. Rights. You own the photo or have written permission from its copyright owner (for example the photographer, or a listing-photo service under its license) to upload it, to have it altered by computer, and to share altered versions with your clients. Many listing photos are licensed to agents for limited uses only, and owning the listing does not mean owning the photos. You also have the property owner's or your client's permission to photograph and show the property. 2. No misrepresentation. You will not use the add-on, or any Staged Image, to hide or misrepresent the property's condition, defects, structure, room sizes, fixtures, views or surroundings. Virtual staging may only add or remove movable furniture and décor (and, for exteriors, show landscaping concepts). It may not change walls, floors, windows, ceilings, roofs, permanent fixtures, damage, the view, or anything outside the owner's control such as power lines, neighboring buildings or roads. 3. Content. You will not upload photos showing people (especially children) without permission, personal documents, license plates you do not have a reason to show, or anything unlawful, sexual, hateful or infringing. We may remove such content. 4. Disclosure in your own advertising. Every Staged Image carries a permanent, visible label "Virtually staged – for illustration only". You must not remove, crop out, cover or alter the label or the concept-rendering notice. If you use a Staged Image anywhere outside the Service (for example the MLS, a listing website, social media or print), you are solely responsible for following the law and the rules that apply to you, including the Illinois Real Estate License Act of 2000 and its advertising rules, the National Association of REALTORS® Code of Ethics (if you are a member), and your MLS's rules. For example, MRED (the Chicago-area MLS) rules require that virtually staged photos be disclosed and limit staging to personal property not conveyed with the sale. Exterior "landscaping" images are labeled as concept renderings because the landscaping shown is not part of the property and does not exist. Showing the unaltered original next to the Staged Image is good practice and may be required. 5. Your clients. Staged Images appear in your client's portal next to the unaltered original. You can hide a Staged Image from your client or delete it at any time.
AI image disclaimer. Staged Images are produced automatically by a computer model and may contain errors, odd details or objects that look out of place. Review every Staged Image before sharing it. Staged Images are provided "as is" for illustration only. We do not promise they are accurate, suitable for any listing service, or free of third-party rights in the generated décor. You are responsible for deciding whether and how to use them. In this version the Service ships with an offline demonstration generator (images are marked "DEMO RENDER"). If we connect a third-party image-generation provider, we will name it in the Privacy Policy before photos are sent to it.
Our license and retention. You keep your rights in the photos you upload. You give us the limited license in section 7 to store, process, re-encode, label and display them, and to send them to our image-generation provider (if any) only to create Staged Images for you. When you upload, we remove embedded metadata (such as GPS location and camera details). Uploaded photos and Staged Images are kept with the transaction file. They are deleted when you delete them, delete the file, or close your account, and otherwise under the retention rules in section 5 and the Privacy Policy. If the add-on ends, existing Staged Images stay visible to you and your clients (still labeled) and you can still delete them, but you cannot upload or create new ones.
Suspension. We may suspend the add-on or remove Staged Images if we reasonably believe they are being used to mislead consumers or infringe someone's rights.
5B. Speak update (voice-to-text), email forwarding, summaries, quotes, appointments and calendars
[attorney review — draft added Oct 8, 2026]
- Speak update (voice-to-text) (under attorney review; updated Oct 15, 2026): Speak update uses your browser's or device's own speech recognition to turn your voice into text (for example Google in Chrome or Apple in Safari, under that provider's terms). The Closing Atelier never receives, uploads or stores audio, and our servers refuse audio uploads. Only the text you review and confirm with "Post to timeline" is saved, as a normal timeline update. No voiceprints are created. Record only yourself; do not record calls or other people.
- Fair use: each plan includes generous monthly fair-use amounts (for example forwarded emails and report summaries) shown on the Billing page. We may slow or pause a feature for the rest of the month if use is far above those amounts; we will tell you first and never charge overage without your agreement.
- Suggestions need your approval: email forwarding only suggests updates, and Speak update posts only the text you review and confirm (no audio is uploaded or stored). Nothing changes on a client's timeline, and nothing is sent to anyone, until you approve it.
- Summaries are informational only: inspection and sewer-scope summaries and cost ranges are rough planning estimates, not inspection, engineering or legal advice. Get quotes from licensed contractors and confirm legal questions with the client's attorney.
- Contractor quotes: contractors are independent; we do not recommend, employ or guarantee them, and you and your clients are responsible for checking licenses and insurance. Real estate licensees must follow RESPA and state rules on referrals and disclosures [RESPA/affiliated business disclosure wording to be supplied by counsel].
- Appointments and notifications: you are responsible for inviting only people who agreed to be contacted and for the accuracy of appointment details. Text messages go only to people who opted in.
- Google Calendar and other calendar connections: connecting a calendar is optional and can be turned off at any time; when you disconnect we delete the stored access tokens. Events the Service created in your calendar stay there unless you delete them.
- No wire or bank details: you must not enter, upload, dictate or forward wire instructions or bank account details. The Service blocks content that appears to contain them and never sends, requests or verifies wire instructions.
5C. Electronic signatures: use your own provider
- Not an e-signature service. The Closing Atelier does not provide e-signatures. It does not create, collect, verify or certify signatures, and it has no connection to any e-signature provider's systems.
- Your own provider. An Agent who wants documents signed electronically uses their own account with an e-signature provider of their choice (for example DocuSign, Dropbox Sign, Authentisign or Dotloop). The app can prepare a PDF of the document with a cover sheet and a signer list for the Agent to upload to that provider, and may show plain links to providers' public websites. The Closing Atelier is not affiliated with, and does not endorse, any provider. We never ask for, and never store, an Agent's e-signature login or credentials.
- Signed copies. After signing, the Agent may upload the signed PDF to the client file. The app stores it next to the original (the original is not changed), labels it “Signed (uploaded by agent)”, and records who uploaded it, when, and a SHA-256 fingerprint of the file. This label reflects the Agent's upload only; The Closing Atelier does not check signatures or whether a document is complete or valid.
- Your responsibility. The Agent and the Agent's provider are responsible for obtaining consent to electronic records and signatures, verifying signers, and complying with the Illinois Electronic Commerce Security Act (5 ILCS 175), the federal Electronic Signatures in Global and National Commerce Act (E-SIGN, 15 U.S.C. 7001 et seq.), other applicable law, and brokerage policy. Documents that must be notarized, signed in wet ink or recorded must be handled through the attorney or title company.
- Polski: The Closing Atelier nie świadczy usług podpisu elektronicznego. Agent korzysta z własnego konta u wybranego dostawcy (np. DocuSign, Dropbox Sign, Authentisign lub Dotloop) i odpowiada za zgodność z Illinois Electronic Commerce Security Act (5 ILCS 175) oraz federalną ustawą E-SIGN (15 U.S.C. 7001). Podpisaną kopię PDF agent może dodać do akt klienta; oryginał pozostaje bez zmian.
- Español: The Closing Atelier no ofrece firmas electrónicas.
6. Text messages and email
Text messages ("The Closing Atelier alerts") are sent only to people who have opted in. Message frequency varies. Message and data rates may apply. Reply STOP to opt out and HELP for help. A plain-words request such as "stop texting me", "unsubscribe" or "remove me" also opts you out. See the SMS Terms. Agents who send texts through the Service are responsible for having the required consent and for the content of their messages.
7. Your content and our license
You keep ownership of everything you upload or write ("Your Content"). You give us a limited, non-exclusive license to host, copy, process, transmit and display Your Content only to run, secure and support the Service for you and the people you share it with. Agents confirm they have the rights and consents needed for content they upload.
Photos and uploads. By uploading a photo or document, you confirm that you own it or have permission to use it, and that you have any consent needed from people shown in it. You keep ownership. You give The Closing Atelier a limited license to store, process, display and transmit it only to run the service for you and the people you share it with. We remove content that infringes others’ rights when properly notified at theclosingatelier@gmail.com.
7B. Your data belongs to you
Your client data belongs to you. We process it only to run your client files and provide the service you asked for. We never sell it, rent it, or use it for our own marketing. We share it only with the service providers that help us run The Closing Atelier (such as hosting, payments, email, and text messaging), under confidentiality obligations, or when the law requires. You can export your data or delete it at any time.
Polski: Dane Twoich klientów należą do Ciebie.
The license in section 7 is the only right you give us in Your Content. It ends when the content is deleted (backup copies roll off within 30 days), it does not let us sell Your Content or use it for our own marketing, and it does not let any AI provider train on it. Details, including the service providers we use and how long we keep data (pending counsel review), are in the Privacy Policy.
7A. Copyright complaints (DMCA)
We respect copyrights and expect our users to do the same. If you believe that content on our website or in our app (for example a photo, logo or document a user uploaded) infringes your copyright, send a written notice to our agent for copyright notices:
Agent for copyright notices, The Closing Atelier, LLC · 10715 S. Roberts Rd., Palos Hills, IL 60465 · Email: theclosingatelier@gmail.com (subject line: "DMCA notice") · Phone: (708) 576-1672
Under 17 U.S.C. §512(c)(3), your notice must include:
- your physical or electronic signature (or that of a person authorized to act for the copyright owner);
- a description of the copyrighted work you say is infringed;
- a description of where the material is in the Service (a link or enough detail for us to find it);
- your name, mailing address, phone number and email address;
- a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law; and
- a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act for the owner.
When we receive a valid notice, we remove or disable access to the material promptly and tell the user who posted it.
Counter-notice. If you believe material was removed by mistake or misidentification, you may send a counter-notice to the same agent under 17 U.S.C. §512(g)(3), with: your physical or electronic signature; a description of the removed material and where it appeared before removal; a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification; and your name, address and phone number, with a statement that you consent to the jurisdiction of the federal district court for your address (or, if you are outside the United States, any district where we may be found) and that you will accept service of process from the person who sent the original notice. Unless that person tells us they have filed a court action, we may restore the material 10 to 14 business days after we receive your counter-notice.
Repeat infringers. We close the accounts of users who repeatedly infringe others' copyrights, in appropriate circumstances.
Knowingly false notices or counter-notices can create liability for damages (17 U.S.C. §512(f)). This address is only for copyright complaints. For anything else, contact us at theclosingatelier@gmail.com.
8. Intellectual Property — Copyright & Trademarks
Ownership. The Service, including the website and app, belongs to The Closing Atelier, LLC or its licensors. To the extent protected by law, the text, templates, checklists, guides, design and software code of the website and app are protected by U.S. copyright law. The name "The Closing Atelier" and the key logo are our trademarks (see "Trademarks" below).
Permitted personal use. You may view pages of the website and app for your own personal or internal business use, and you may print or download a copy of our free guides and your own transaction materials for that use, so long as you keep all copyright, trademark and other notices.
Your license to use the Service. While your account is in good standing, we give you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose: for Agents and Professionals, to manage their own client files and business; for Clients, to view and take part in their own transaction. You may not sublicense, sell, assign or share this license. It ends when your account ends or when we suspend it under these terms.
What you may not do. Unless we agree in writing or the law allows it, you may not: copy, reproduce, republish or redistribute the Service or its content, except printing or downloading your own files and our free guides for your own use; modify it or create derivative works from it; decompile, disassemble or reverse engineer the software, or try to extract its source code; scrape, crawl or harvest the Service or its content with bots or other automated tools; frame or mirror the website or app; use our content to build or train a competing product or an AI model; remove or change any copyright, trademark or other notice; use our name, logo or a confusingly similar name, logo or domain without our written permission; or use our name or logo as a search keyword, domain name or social media username or handle.
Your uploads. You confirm that you own or have permission to use everything you upload, including logos, photos and documents, and that it does not infringe anyone's rights.
Your content stays yours. Section 7 controls Your Content. You keep ownership of your client data and everything you upload or write. We get only the limited license in section 7, which is used only to run, secure and support the Service for you and the people you share it with. Nothing in this section gives us any other right in Your Content.
Feedback. If you send ideas or suggestions about the Service, we may use them to improve it without obligation to you. Feedback does not include Your Content.
Trademarks. The Closing Atelier™ and the key logo are trademarks of The Closing Atelier, LLC. We do not claim copyright in the key logo artwork. They are not registered trademarks, so we use ™, not ®. You may not use them without our written permission, except to refer accurately to our Service.
Enforcement. Unauthorized use of the Service or its content may cause irreparable harm, and we may seek injunctive or other equitable relief, without posting a bond where the law allows, in addition to any other remedies. You agree to cover our reasonable costs and attorneys' fees caused by your infringement or misuse of the Service. If we do not act on a violation right away, we keep the right to act on it or any later violation. Claims about our intellectual property may be brought in the state or federal courts in Cook County, Illinois, as set out in section 15.
Other companies' marks. REALTOR® is a federally registered collective membership mark that identifies real estate professionals who are members of the National Association of REALTORS®. MLS names (such as MRED), Google and Google Calendar, Apple, Outlook, Stripe, DocuSign, Dotloop, Dropbox Sign, Twilio, Zillow and other names we mention belong to their owners. We use them only to identify those products and services. The Closing Atelier is not affiliated with, sponsored by or endorsed by any of them.

9. Privacy
Our Privacy Policy explains how we handle personal information. For client information, the Agent decides what is collected and shared; we process it on the Agent's behalf.
10. Availability and changes
We work to keep the Service available and secure but do not guarantee it will be uninterrupted or error-free. We may change features. If we make a material change to these terms we will notify Agents by email at least 30 days in advance; continuing to use the Service after that date means you accept the change.
Third-party links and services. Our website and app may link to services we do not control, such as e-signature, calendar, payment or partner websites. We are not responsible for their content, security or privacy practices. Please review their terms before using them.
Do not rely on the Service as your only reminder. We work to keep The Closing Atelier available and secure, but we cannot promise it will always be uninterrupted or error-free. Planned maintenance is announced in advance when possible. Texts and emails may be delayed by carriers or providers. Do not rely on the app as the only reminder of an important deadline.
11. Suspension and termination
We may suspend access to protect the Service, other users or the public, or for serious or repeated violations of these terms, and will tell you why where lawful. You may close your account at any time.
12. Disclaimers
The full warranty disclaimer is not in effect until counsel approves it. Until then, do not treat the Service as a finished product for a real closing: paid billing is off, and the Service is a coordination tool, not a guarantee that a deadline, closing, or payment will happen.
12C-1. Pro Directory categories and badges
- Pro Directory listings are paid advertisements labeled “Advertisement,” at one flat fee that is the same for every category and is never tied to referrals, leads, closings or transaction volume. No agent or broker, including our founder, receives anything from any advertiser.
- Categories include land surveyors, home inspectors, radon mitigation professionals, pest & termite inspection companies, contractors and trades, insurance agents, home warranty companies, security system installers, garage door opener installation & repair, handyman services, pool installation and pool maintenance, solar panel installers, EV charger installers, septic pumpers, well drillers, smart-home technology installers, lawn sprinkler and irrigation installers, security system installers, garage door opener installation & repair, handyman services, pool installation and pool maintenance, solar panel installers, EV charger installers, septic pumpers, well drillers, smart-home technology installers, lawn sprinkler and irrigation installers, solar panel installers, EV charger installers, septic pumpers, well drillers, smart-home technology installers, lawn sprinkler and irrigation installers, landscaping companies, loan officers, and interior designers and stagers who advertise to Illinois sellers preparing to list.
- Badge. A listing may show “License on file, checked MM/DD/YYYY. Please confirm with the issuing agency.” only after we compare the advertiser’s number by hand with the official public lookup on that date: radon mitigation (IEMA-OHS radon license), pest and termite inspection (IDPH structural pest control license), home warranty companies (Illinois Department of Insurance service contract provider registration), insurance agents (Illinois Department of Insurance producer license), security system installers (IDFPR private alarm contractor agency license, required for every listing), interior designers (IDFPR Registered Interior Designer registration; designers who are not registered are listed as “Interior design / staging” with no badge and never use that title). The badge means only that a number was on file on that date. It is not a rating or an endorsement. Garage door opener installers, handyman services and residential pool installation and maintenance companies have no Illinois state license for that work; their badge reads “License on file, checked MM/DD/YYYY. Please confirm with the issuing agency.” (local license and insurance documents only) only for the city license and insurance certificate we actually hold, and never implies a state license. Plumbing, roofing and other state-licensed trades must be done by those licensees.
- Insurance. No listing is published until the professional uploads a certificate of insurance (carrier, policy number, coverage type, limits and expiration date) and we review and approve it by hand. Every professional, in every category, must carry general liability insurance of at least $1,000,000 per occurrence ($500,000 per occurrence for handyman services, which may not include plumbing, electrical, roofing or other work that needs a trade license). A listing hides automatically on the policy expiration date. Insurance badge: “Insurance certificate on file, checked MM/DD/YYYY; expires MM/DD/YYYY. Please confirm with the insurer.” The advertiser warrants that coverage stays current and must notify us of any cancellation.
- Signature required. No listing publishes until the professional signs the Pro Advertiser Agreement.
- Directory disclaimer. Every listing in this directory, in every category, is paid advertising. It is not a referral, recommendation or endorsement. The Closing Atelier is not a broker, guarantor or agent for any professional listed here. Each professional is solely responsible for its own licensing, insurance and workmanship. Before hiring anyone, please verify their credentials, licenses and insurance independently with the issuing agency or insurer.
- Directory disclaimer in Polish: Zastrzeżenie dotyczące katalogu.
12D. Documents uploaded by professionals
Under attorney review.
- A client, agent or By Owner seller may invite a professional (for example a home inspector, land surveyor or contractor) by a one-time secure link to upload documents to one transaction file. Invites expire, and access is limited to that one file. When an agent sends the invite, the client must agree before the professional's documents are shared with the client. The person who controls the file can revoke access at any time.
- Accepted files: PDF, JPG and PNG, size-limited, scanned for malware and encrypted at rest. Files that appear to contain Social Security numbers, bank account or wiring details are blocked. Uploads and downloads are recorded in an audit log.
- Documents are prepared by the professional who uploaded them. The Closing Atelier does not review, verify, approve or endorse them and is not responsible for their accuracy, completeness or conclusions. Discuss any document with the professional who prepared it, your agent and your attorney.
12E. Payment requests from professionals
Under attorney review.
- An invited professional may attach a payment request for their own service fee (for example an inspection fee). The request links to the professional's own invoice or payment page on an approved processor (Stripe, Square, PayPal or QuickBooks). The Closing Atelier never receives, holds, processes or transfers funds, and charges no fee or markup on any payment. Payment is a matter only between you and the professional.
- Payment requests may never be used for earnest money, down payments, closing funds or any money that goes to a title company, escrow or attorney. Wire fraud warning: never send closing funds based on a link or instructions in an app, email or text. Call your title company or attorney at a phone number you already know to confirm instructions.
- With an agent: the client or agent may invite the professional; both can see requests; the agent or client can hide or report a request. By Owner (no agent): the seller owns the file, decides whom to invite, grants or revokes access, and receives and decides whether to pay requests. The Closing Atelier is not the seller's agent or advisor; you may choose any professional, and we recommend consulting an Illinois real estate attorney.
12F. Repair tracking
Under attorney review.
- The Repairs tab lets the client, agent or By Owner seller set a due date for each repair item, and lets an invited contractor mark it complete. Items past their due date are labeled "Overdue." Optional reminders may be sent 2 days before a due date.
- Due dates are for tracking only and do not create, change or replace any contract deadline. A "complete" mark is the contractor's own statement; it is not an inspection, certification or warranty by The Closing Atelier. Consider a reinspection before closing.
- Contractors are responsible for their own licenses, permits and contracts. Illinois law may require a written contract and the "Home Repair: Know Your Consumer Rights" pamphlet for home repair work over $1,000 (Home Repair and Remodeling Act, 815 ILCS 513), roofers must be licensed by IDFPR (Roofing Industry Licensing Act, 225 ILCS 335), and many repairs need a local permit. Check with the contractor and your city.
12G. City closing-requirements checklists
Under attorney review.
- For By Owner sellers, the app can show a checklist of city requirements (starting with Chicago). Each checklist shows the date it was last verified against official sources. If a checklist is past its yearly re-verification date, the app warns "Verification overdue — confirm with the city" and the items are not presented as current. Items we could not confirm are labeled as unconfirmed.
- Checklists are general information only. They may be incomplete or out of date, requirements can change at any time, and they are not legal advice. Always confirm with the city, the county and your attorney.
13. Limitation of liability
Plain-English summary (draft): In plain English: the service is provided “as is”. To the extent the law allows, The Closing Atelier is not responsible for indirect or consequential losses, such as a missed deadline, a delayed closing or funds lost to fraud, and our total responsibility is limited to the fees you paid us in the 12 months before the claim [cap to be set by counsel]. Some laws do not allow these limits, so they may not apply to you. The full terms control.
Counsel has not set a dollar cap, and no cap is in effect. The plain-English summary above is not the final clause. Limits that the law does not allow will not be applied.
14. Indemnity
Counsel has not approved an indemnity clause, and none is in effect. Agents remain responsible for the accuracy of what they upload and for following their own license and advertising rules.
15. Governing law and disputes
These terms are governed by the laws of the State of Illinois. Venue for a dispute is the state or federal courts in Cook County, Illinois. These terms do not include an arbitration clause or a class-action waiver. Counsel may add either later; if so, we will post the change before it applies.
